What MiFID II and MAR is
MiFID II is about conduct and market structure: investor protection and product governance, best execution, transaction reporting, and the recording of client communications. MAR is about abuse: insider dealing, unlawful disclosure of inside information, and market manipulation, with insider lists, disclosure obligations, and suspicious order and transaction reporting.
Firms tend to run the two together because the evidence overlaps heavily. The same order records, communications archives, and surveillance alerts serve both, under the same governance. After Brexit the UK onshored both regimes, so a firm operating either side of the Channel usually runs one control set mapped to two rulebooks that have begun to diverge in detail.
